MindTenet Terms of Services
1. Introduction and Acceptance of Terms
Welcome to MindTenet™ LLC (“MindTenet”, “we”, “us”, or “our”), which builds games and software, operates the Undef Games™ studio, and provides related advisory services. By accessing or using our website and services, you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree to these Terms, please do not use our services.
2. Description of Services
MindTenet offers the following services:
a. Games and game tools: Through Undef Games, MindTenet builds tools and systems for shared play, including dice and table tools, random-table utilities, and platforms for running live online games.
b. Software development: MindTenet builds software for clients on a project basis.
c. Advisory services: MindTenet provides fractional and advisory support, including technical direction and product guidance.
3. User Obligations and Responsibilities
When using our services, you agree to:
a. Provide accurate and complete information, including ID details for Know Your Customer (KYC) purposes. b. Use our services only for lawful purposes and in accordance with these Terms. c. Not engage in any activity that may disrupt or interfere with our services or harm other users. d. Maintain the confidentiality of your account information and notify us immediately of any unauthorized use. e. Comply with any additional terms that apply to specific products or services you use.
4. Intellectual Property Rights
All intellectual property rights related to MindTenet’s services, including trademarks, logos, and content, are owned by MindTenet or its licensors. You may not use, reproduce, or distribute any of our intellectual property without prior written consent.
5. Data Usage
We collect and use data generated through your use of our services to operate, maintain, support, and improve them. We handle all personal information in accordance with our Privacy Policy.
6. User-Generated Content
By submitting content to our platform, you grant MindTenet a non-exclusive, royalty-free, transferable, and worldwide license to use, reproduce, and display the content in connection with our services. You represent and warrant that you have the necessary rights to grant this license.
7. Confidentiality
Where MindTenet provides software development or advisory services, both parties may share confidential information. We protect client confidential information and expect the same in return:
a. Non-Disclosure Agreements (NDAs): We will enter into NDAs where appropriate to protect confidential information shared during an engagement.
b. Secure handling: We use reasonable measures to keep confidential information secure and limit access to those who need it.
c. Work product and IP: Ownership of work product and intellectual property created in an engagement is governed by the applicable engagement agreement.
d. Disputes: Disputes arising from an engagement are handled as described in Section 14 (Governing Law and Dispute Resolution).
8. Privacy and Data Protection
We collect and process personal information in accordance with our Privacy Policy. By using our services, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.
9. Payments and Billing
Purchases of MindTenet and Undef Games products are handled by third-party payment processors — currently Stripe and Square (we may add others). By making a purchase, you also agree to the applicable processor’s terms. Prices are shown in US dollars (USD) unless stated otherwise and are exclusive of any taxes unless stated. You authorize us, through our payment processor, to charge your chosen payment method for the amount shown.
Subscription products renew automatically at the stated interval until you cancel. You may cancel at any time; cancellation takes effect at the end of the current billing period, and we do not refund partial periods unless the law requires it. We will give reasonable notice before any change to a subscription price, and a failed payment may lead to suspension or cancellation. Refunds and cancellations are governed by our Refund & Cancellation Policy .
10. Limitation of Liability
To the maximum extent permitted by law, MindTenet, its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any conduct or content of any third party on the services; (iii) any content obtained from the services; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
11. Disclaimer of Warranties
Your use of the service is at your sole risk. The service is provided on an “as is” and “as available” basis. The service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
MindTenet, its subsidiaries, affiliates, and its licensors do not warrant that a) the service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the service is free of viruses or other harmful components; or d) the results of using the service will meet your requirements.
12. Indemnification
You agree to defend, indemnify and hold harmless MindTenet, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Service or your use of the services, including, but not limited to, your user contributions, any use of the service’s content, services and products other than as expressly authorized in these Terms of Service or your use of any information obtained from the services.
13. Termination of Service
MindTenet reserves the right to suspend or terminate your access to our services at any time and for any reason, including if we reasonably believe you have violated these Terms.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration conducted in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Portland, Oregon, and the arbitrator’s decision shall be final and binding.
15. Amendments to the Terms of Service
MindTenet may update these Terms from time to time. We will notify you of any material changes, and your continued use of our services after the changes constitute your acceptance of the updated Terms.
